The Directors at SayOne Media have extensive experience of successfully bringing niche publications to market. SayOneMedia acquired Conquest Business Media in 2007, rapidly establishing a portfolio of titles including, among others, The Manufacturer, Lean Management Journal, and industry research reports including The Low Carbon Report and The Annual Manufacturing Report.

The BoardRoom is primarily targeted towards non-executive directors, and will fill the knowledge gap that NED’s may have about the legal duties, responsibilities, and potential liabilities inherent in their positions. The timing of this launch is judicious, given that it coincides with the increased media scrutiny on directorship and boardroom operations from industry and public alike.

The appointments of Edward Machin as editor and Barry Gamble as editor at large will ensure the right balance of enthusiasm and experience for the publication, thus realising The BoardRoom as the leading academic journal in its sector.

The Concept

The Companies Act 2006 holds that there is no legislative distinction between executive and non-executive directors. With regards to the UK unitary board structure, therefore, NEDs have the same legal duties, responsibilities, duty of care, and potential liabilities as their executive counterparts. Moreover, given the increasingly prominent role that they play in effective corporate governance, there is a strong editorial case for a publication devoted to this audience.

Re-launching in September 2009, The BoardRoom will fill this gap. By reporting both non-executive and wider boardroom issues comprehensively, our bi-monthly journal provides essential reading for directors, trustees, consultants, financiers, legal professionals and industry alike.

A concise, independent publication by SayOne Media, The BoardRoom contains in-depth analysis across the gamut of non-executive operations. The journal provides a platform for senior figures in industry, academia and the public sector to provide both commentary and objective discourse on all aspects of corporate governance including, but not limited to: leadership and group strategy; boardroom communication; fiduciary duties; accounting/auditing practices; CSR; compliance and risk; investor relations; employment; and IT.

Because the journal focuses on non-executive directorship issues, The BoardRoom is uniquely placed to cover the topics critical to robust corporate governance. Several important legislative acts and reports, such as the recent Walker Review, and including the Sarbanes-Oxley Act, Higgs and Tyson reports, the Commission of the European Communities and the Combined Code report, show that there is considerable responsibility - and, inevitably, potential for error — in the NED’s remit. This publication will ensure that boardroom deliberations are informed by a better understanding of the salient issues of directorship, while focusing primarily on the manifold operations of non-executives.

With case studies that detail examples of successful executive operation in practice, each issue of The BoardRoom will provide analysis of subjects including:

In spite of, and perhaps thanks to, the economic downturn, corporate governance faces an exciting future. Board activities will be subject to increasing scrutiny and public interest, with NEDs expected to manage greater executive accountability, challenge the status quo while avoiding conflicts of interest, and embrace diversity within the company management structure. The BoardRoom will be at the forefront of developments in directorship reporting, both large and small, while simultaneously providing opinion, news, guidance and analysis on this fast-developing, increasingly important sphere of business management.
