It is the client’s responsibility to be aware of any deadlines. Hennik Group Limited will make reasonable efforts to remind the client of the deadlines but cannot be held responsible for any missed deadlines resulting in incurred costs. Please refer to the client delivery guidelines provided at onboarding for an outline of terms and deadlines specific to your booked activity.
A minimum of 6 weeks’ notice must be given in writing to reschedule booked activity for digital and print (excluding events and bespoke activity). Rescheduling will be subject to availability and is limited to one time only.
The parties undertake that they shall not at any time disclose to any third party any confidential information disclosed concerning the other party’s business or affairs, including information relating to a party’s operations, clients, customers, processes, plans, product information, know-how, designs, trade secrets, software, market opportunities, pricing and customers.
Note that Hennik Group will capture and store your data whilst fulfilling their commitment to this contract and have legitimate interest to contact you for renewal or other services we deem of interest to you. We undertake that we shall not disclose your data to any person. A copy of our privacy document can be found on www.TheManufacturer.com/privacy-policy.
If you cancel an order Hennik Group Ltd, or it’s subsidiaries, reserve the right to charge a cancellation fee. If any work has been undertaken such as interviews or marketing for an event has commenced and your company has been included on any marketing collateral, then Hennik Group Ltd reserves the right to invoice for the full or part amount of the order. All cancellations must be received in writing.
All Intellectual Property Rights and all other rights in the Services and materials provided as part of the Services shall be owned by us. The parties agree they will not use the party’s trademarks for any reason not described in the quote without the prior written consent of the other party.
Excluding distribution of content for the purposes described in the Hennik quote, you may not, and shall procure that any third party shall not, use or distribute any of our work or content, without our prior written consent.
You shall be responsible to us (and indemnify us in full) for any breach of our Intellectual Property or copyright by your employees or agents.
Changes to event features may be necessary due to events outside our control. Hennik Group Limited and any of it’s subsidiaries therefore reserves the right to make any necessary amendments to the programme or content of the event. The parties will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by events outside a party’s reasonable control (Force Majeure Event). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond a party’s reasonable control and includes in particular (without limitation) the following: strikes, lock-outs or other industrial action, civil commotion, riot, invasion, terrorist attack, war (whether declared or not) or threat of or preparation for any of the foregoing; fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport, impossibility of the use of public or private telecommunications networks, and the acts, decrees, legislation, regulations or restrictions of any government.
If your booking is related to a sponsorship or exhibiting at an event:
In the event that Government imposed restrictions prevent us from running a particular event, such Smart Factory Expo or any other event, you can either:
- Reallocate the spend to alternative activity; or
- Roll-over your booking to 2022, thereby securing your place at the 2021 rate and with the guarantee of no price increases.
The views of any speaker appearing at an event will be the views solely of that speaker and Hennik Group Limited holds no responsibility for them.
Hennik Group Limited reserves the right to cancel an event at any time.
Payment terms are strictly 30 days unless otherwise agreed in writing by both parties.
This contract is with Hennik Group Limited or one of its group companies, Hennik Research Limited or Hennik Edge Ltd.
